Icahn Quits Yahoo Board; Reiterates Support For Microsoft Search Deal

Investor Carl Icahn is resigning from the Yahoo (NSDQ: YHOO) board of directors, saying that the company does not need an “activist” on its board, MarketWatch reports. The news comes two months after Icahn cut his stake in the company in what he called a move to “balance his portfolio.” At the time, Icahn emphasized that he supported Yahoo’s ad deal with Microsoft and he reiterated that position in his letter of resignation to the Yahoo board Friday.

Icahn accumulated a big stake in Yahoo last spring as part of a proxy fight to remove Yahoo’s board and replace it with a new board that would negotiate the sale of the company to Microsoft (NSDQ: MSFT). He later withdrew his slate of candidates in exchange for a seat on the board for himself and two of his representatives. In his letter, Icahn said the company had accomplished “much” since then, including hiring Carol Bartz as CEO and reaching the Microsoft search deal.

Even after his recent stock sale, Icahn remains the company’s second largest shareholder, controlling roughly 4.48 percent of Yahoo’s stock. Icahn is the second Yahoo board member to resign in the last month; in late September, Maggie Wilderotter said she would resign to “focus on other responsibilities.”

To the Yahoo! Board of Directors:

I am hereby tendering my resignation as a director of Yahoo! to take effect immediately.

When I joined the Board, the company was in a state of turmoil. In the period since then, we have all worked together to achieve much for the Company, most notably bringing Carol on to be the CEO and then consummating the search deal with Microsoft. I am proud to have played a role in both these decisions. Carol is doing a great job and I believe the Microsoft transaction will provide great long term benefits, the potential of which many still do not understand.

I don’t believe that it is necessary at this time to have an activist on the Board of Yahoo! and currently, my attention is focused on other matters. As a result, I do not presently have the time that is necessary to devote to the business and affairs of Yahoo! required if a board member is to fulfill his fiduciary duties to the shareholders

Again, I want to thank the members of the Board for acting so responsibly during my tenure. I look forward to maintaining my relationship with each of you.
